Descripción general

Responsibilities will include:
• Review, redline and negotiate agreements for the sale or purchase of third party manufacturer products and services for commercial customers and vendors in the United States and abroad. These contracts may include Master Purchase Agreements, Professional Services Agreements, Reseller Agreements, Statements of Work, Subcontracts, customer flowdowns, NDAs, Teaming Agreements and other channel agreements.
• Collaborate with cross-functional teams and engage Subject Matter Experts where needed.
• Structure, draft and partner on contract negotiations both independently and with the regional Associate General Counsel.
• Act as primary liaison between internal business teams or customers and Associate General Counsel to facilitate legal review of non-standard requests
• Review Request for Proposal documents for legal risks and issues and guide the Proposals team to ensure submission of legally compliant proposals.
• Efficiently communicate with internal departments and executives to ensure proper execution of agreements.
• Prepare contract summaries for escalation to Associate General Counsel and sales leadership for approval
• Utilize contract lifecycle management (CLM) system to input contract details, update contract status, upload executed contract and track expiration of contract for renewal.

Requisitos para aplicar

• Bachelor's degree required with at least five years of experience OR Juris Doctor with one-year minimum relevant experience reviewing, redlining, and negotiating customer (third party) contracts, preferably, or a broad range of standard commercial contracts.
• Strong knowledge of legal and commercial terms including, but not limited to: products and services warranties, indemnity, limitation of liability, shipping, and delivery terms, cancellation and returns, data privacy, intellectual property ownership, and license terms.
• A self-starter who can utilize their contract and risk knowledge and sound judgment to make time-sensitive decisions on complex or varied problems with minimal supervision.
• Superior writing, analytical, and communication skills, including experience engaging with sales and senior management.
• Ability to quickly and autonomously analyze complex transactions and propose innovative, creative, and workable solutions.
• Ability to work under pressure, address multiple competing priorities, and provide practical advice to business teams.
• Ability to develop strong relationships with internal business units and business management.
• Team player with a positive attitude who can provide support to coworkers on urgent tasks
• In-house legal department experience is strongly preferred.
• Salesforce and Conga CLM experience a plus.
